Definitions
Anniversary Date
The annual date marking the Contractor's initial onboarding with Epique Realty. In the event the Contractor terminates their relationship with the Company and later re-joins, the Anniversary Date shall reset to the date of re-engagement, and all applicable compensation thresholds, caps, awards, or recognitions tied to tenure shall restart accordingly.
Broker or Agent
"Broker" or "Agent", "Contractor", or "Independent Contractor" refers to an individual registered under the Real Estate and Business Brokers Act (REBBA 2002) with the Real Estate Council of Ontario (RECO), authorised to trade in real estate, and affiliated with a licensed brokerage under the supervision of a Broker of Record.
Broker of Record
"Broker" or "Broker of Record" refers to an individual holding a valid broker registration issued by RECO who is designated by the Company to be responsible for the brokerage's compliance, agent supervision, and regulatory reporting, as required under Ontario law.
Company
"Company", "the Company", or "the Brokerage" refers exclusively to 1001254066 Ontario Inc. (Epique Realty), a real estate brokerage registered and licensed to operate in Ontario, Canada, including any operations under its registered business name (DBA) Epique Realty.
Association or Board
"Association" or "Board" refers to the Canadian Real Estate Association (CREA), the Ontario Real Estate Association (OREA), or any recognised local real estate board to which the registrant is affiliated. All registrants are expected to comply with the bylaws, ethics standards, and membership rules of the applicable board(s).
Notices
Any actions by the Independent Contractor that violate the provisions of this policies and procedures manual are unauthorised and fall outside the scope of the Brokerage – Independent Contractor relationship. Any expenses or losses arising from the Independent Contractor's actions shall be solely borne by the Independent Contractor. Any expenses or losses suffered by the Brokerage of Record as a result of the Independent Contractor's actions shall be reimbursed by the Independent Contractor. A waiver of this provision by the Brokerage of Record, with respect to any actions, shall not be deemed a waiver with respect to any other actions.
Governing Law and Forum
The validity, construction, and interpretation of this Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without regard to principles of conflicts of law. The Parties hereby consent and agree to the exclusive jurisdiction of the provincial and federal courts located in Canada for all suits, actions, or proceedings directly or indirectly arising out of or relating to this Agreement, and waive any and all objections to such courts, including but not limited to objections based on improper venue or inconvenient forum. Each Party hereby irrevocably submits to the jurisdiction of such courts in any suits, actions, or proceedings arising out of or relating to this Agreement.

This Agreement is a legally binding document that establishes the relationship between Epique Realty and its Independent Contractors. All parties should thoroughly review and understand the terms before signing.
Statement of Agency
Effective as of the date of this Independent Contractor Agreement ("Agreement" or "ICA"), the Company shall retain the Contractor as an "Independent Contractor" as defined under the Income Tax Act and applicable Canadian tax laws, with the title of "Real Estate Salesperson" or "Broker" or other such equivalent title as recognised by the relevant provincial regulatory authority. (e.g., real estate licensee, broker, qualifying broker, principal broker, associate broker, etc.) exclusively for the Company. This Agreement does not constitute a hiring by either party, and neither party shall be liable for any obligation incurred by the other, except as provided hereunder.
The Contractor shall be free to devote such portion of their time, energy, effort, and skill to their real estate service business as they see fit and to establish their own endeavours. The Contractor shall not be required to keep definite office hours, attend sales meetings, or adhere to sales quotas. The Contractor shall not have mandatory duties except those specifically set out in this Agreement.
Nothing contained in this Agreement shall be regarded as creating any relationship (employer/employee, joint venture, partnership, shareholder) between the parties, other than the independent contractor relationship as set forth herein. The Contractor understands this is an "at-will" agreement. The Contractor understands that the Company is legally accountable for the activities of the Contractor under applicable provincial and/or Canadian laws.
The Independent Contractor relationship is fundamental to the real estate industry in Canada, providing flexibility while maintaining professional standards and regulatory compliance.
Licenses & Permits
The Contractor agrees to comply with all applicable provincial and federal laws and regulations regarding business permits and licenses required to carry out their business.
Contractor hereby agrees not to claim or assert, or to support any third-party assertion of, the existence of an employee/employer relationship. Any specific provincial or territorial exceptions and requirements shall be covered in a province-specific addendum. Contractor shall name the Company, its affiliates, and subsidiaries as additional insureds on any workers' compensation policy that Contractor obtains on his or her own behalf and shall also obtain a waiver of subrogation endorsement from the workers' compensation insurer in favuor of the Company, its affiliates, and subsidiaries. Contractor shall, upon written request, provide evidence of the above insurance requirements for any policy of workers' compensation insurance he or she obtains on his or her own behalf.
Independent Contractor & Taxes
Independent Contractor understands that Independent Contractor is entering into this Agreement as an Independent Contractor and not as an employee. The Company will have no responsibility to withhold or pay any income or other withholding taxes on Independent Contractor's compensation or to provide any insurance, retirement, or other employee benefits to Independent Contractor. Independent Contractor will not be treated as an employee with respect to services rendered by Independent Contractor pursuant to the Agreement for federal/provincial/territorial tax purposes.

Maintain Valid Licenses
Contractors must maintain all required licenses and registrations with RECO and other regulatory bodies.

Comply with Tax Laws
Contractors are responsible for their own tax filings and payments as independent business operators.

Obtain Necessary Insurance
Contractors must secure appropriate business insurance coverage as required by law and this Agreement.
Termination
This Agreement shall be deemed terminated:
Upon the occurrence of expiration, suspension, revocation or termination of Contractor's real estate license for any cause or reason whatsoever
Upon written notice, with or without cause, from either party to the other party of the intent to terminate this Agreement for breach of any provision hereof
Upon written notice from either party to the other party of the intent, with or without cause, to terminate this Agreement
Upon termination of this Agreement, for any reason, Contractor agrees to cease use of any and all sales materials or similar items that bear the name, logos, registered trademarks or inscription of the Company, in any manner whatsoever.
Termination & Release of Clients & Listings
Upon termination of this Agreement, for any reason, the Company will release all active or pending listings and clients immediately. If an existing contract of sale exists, or a representation agreement, the Company will impose a referral fee of 15% which will be charged to the Contractor's new brokerage. The referral fee may also include any past due balances, monthly fees, or balances owed to the Company or any outstanding referral partner balances the Contractor may owe while sponsored by the Company. The Company may opt to keep listings, clients, and/or contracts at its discretion. The Company shall be deemed released from all claims for commissions not yet earned under applicable provincial and/or federal laws by the Contractor. Upon termination of this Agreement, for any reason, Contractor is aware that such termination could result in a significant financial loss, including but not limited to: pending transactions, revenue share, and stock awards.
Non-Compete & Multi-Province Agents
Agents, Brokers, and/or Staff may not engage in business that competes with the Company and may not work with competing companies in areas in which the Company operates. Sponsored salespersons, agents, and brokers licensed in multiple provinces, territories, or countries must join the Company in all provinces, territories, and jurisdictions in which both the Company operates and in which the salesperson is duly licensed to engage in real estate sales.
Agent Offboarding Process
The Agent is required to submit written communication to their provincial or territorial broker, notifying them of their intent to depart, including the intended final day of association with the Company, along with any company inventory in their possession, benefits enrolled in, and any transition plans for current clients or transactions.

Failure to properly complete the offboarding process may result in delays in the release of your license and could impact your ability to join another brokerage in a timely manner.
Commission & Transactions
Receipt of Commission
All compensation received or earned by Independent Contractor for performing licensed activities must be paid directly to the Company.
Should the Independent Contractor expect to receive any compensation from anyone, other than the party represented, the Independent Contractor must disclose this in writing and obtain written consent from the party represented to receive such compensation. The Independent Contractor must provide the Brokerage and Company a written copy of such disclosure and consent. If a party represented by the Independent Contractor does not agree to pay a service provider in the transaction, the Independent Contractor must also obtain written consent from that party to accept any compensation from the service provider. The Independent Contractor must also provide the Brokerage and Company a written copy of such consent.
Payment of Commission
All compensation earned by Independent Contractor will be paid by the Company directly to the Independent Contractor directly, or through the Independent Contractor's PREC (Personal Real Estate Corporation), unless otherwise agreed upon in writing by the Company and Independent Contractor. The Company will pay compensation to the Independent Contractor's PREC only if the Independent Contractor provides evidence of being properly licensed and is in good standing with the Company and the applicable provincial body.
If a commission is paid to the Company, then the compensation paid to the Independent Contractor will be paid within 48 hours of the funds clearing into the Company's account.
The Contractor shall be entitled to a commission on sales, rental/lease transactions, opinions of value broker price opinions ("BPOs"), and referrals (collectively "Transactions") as follows: income retained by the Company after referrals and concessions, but prior to commission split ("Gross Commission Income"), shall be split at an agreed-upon rate to the Contractor ("Contractor Dollar Amount") and to the Company ("Company Dollar") on all Transactions closed by the Contractor.

Percentage of Gross Commission retained by Epique Realty
Company will receive 15% of Gross Commission and Agent will receive 85% of Gross Commission. The Agent's commission may be split in the event of a referral payout, loan repayment, or third party obligation by Agent. Once an Agent hits their "Commission Cap", they will no longer be subject to a commission split. Should any transactions be subject to any federal, provincial state or local taxes, the split will be calculated after the tax is deducted.
Transaction Fee
0.1% of the Gross Sales Price per Sale Transaction
This does not apply to residential leases. Transaction fees cap at $700 CAD per transaction. Transaction fees are deducted from all transactions. Transaction fees paid do not apply toward commission caps or Power Award status. Once capped, agents will continue to pay transaction fees on every transaction. In the event of multiple contractors working the same side of a transaction, the transaction fee will be taken off the top before the split occurs. Once an agent has paid $7,000 CAD in Transaction Fees, the per-transaction fee cap reduces to a maximum of $350 CAD per transaction. For PowerTeamsâ„¢, the per-transaction fee is always $350 CAD.

Transaction fees are separate from commission splits and continue to apply even after an agent has reached their commission cap.
Commission Cap
A Commission Cap puts a cap on the Company Commission split, not the Agent Commission. The cap is an annual cap that resets on an agent's Anniversary Date. Commission Caps only apply to Commission Splits. Monthly dues, payments, transaction fees, or processing fees do not count towards an agent's Commission Cap.
Declining Caps
In order to reward our long-standing contractors, Epique Realty offers a reducing/declining commission cap. Each Agent Anniversary year, the Commission Cap will be reduced by $1,000 CAD per year until the Contractor reaches the lowest Cap of $15,000 CAD per year. New caps are introduced the first day after the agent's anniversary date.
This declining cap structure rewards agent loyalty and provides increasing financial benefits the longer you remain with Epique Realty.
Personal Transactions
A Personal Transaction is any Lease, Purchase or Sale for which Contractor has an ownership or lease interest in the subject property, whether through Contractor's own name, a spouse's name, or a business entity or revocable trust that is owned and/or controlled by Contractor and/or Contractor's spouse.

Monthly technology fees are automatically processed via debit or credit card as provided by the Contractor. The technology fee is $199 CAD + processing fee of $10.00 CAD per month.
On Demand
The Contractor agrees to pay the Company in full any current and any past due fees upon demand.
Right to Deduct
The Company retains the right to deduct any fees and dues from payment of commissions, revenue share, funding source on file, or by any other reasonable and lawful means, including but not limited to: any past due amounts of any kind, overpayments of commissions or revenue share, and/or late fees assessed. Any unpaid balances may be subject to collections and/or formal legal proceedings in accordance with applicable Canadian laws.
Late Fees
All payments billed to the Contractor by the Company for recurring payments, monthly fees, programs opted into, and any other fees billed or back-billed for reimbursement per written agreements and Company policies are due within 10 days from the date of billing. Any billing that is more than 30 days past due will be assessed a minimum $35 CAD late fee per month or the maximum amount permitted under applicable provincial or federal law.
Good Standing
If a Contractor's account reaches 90 days past due or delinquent, the Company may terminate this Agreement and any/all pending commission payments, non-vested equity interest, non-vested crypto assets, unpaid revenue share, unpaid equity awards, unpaid profit share, and all memberships and associations may be forfeited to the Company. Contractors are not eligible for revenue share if they are not in good standing.

Maintaining good standing status is essential for accessing all benefits and compensation programs offered by Epique Realty. Regular payment of fees and compliance with all Agreement terms is required.
Benefits & Perks
Epique Realty offers several benefits to their contractors. These benefits may change, be revoked, or altered at any time. Contractors are expected to make an effort to apply for these benefits in order to use them.

Due to local, MLS, software, or other restrictions all benefits MAY NOT BE AVAILABLE IN ALL AREAS. This does not reduce any fees.
Free Benefits
Benefits and Perks advertised as "free" are considered so as they were added as additional perks without an increase in costs to the agents. These are considered extra benefits that are paid for and levied against the Company's profits, not the agent's expenses. The availability or unavailability of these benefits does not change the fee structure for agents. Any benefits or perks added, without a cost increase to the recipient of that benefit, will be considered and promoted as a free benefit or perk. Agents are not guaranteed access or availability of every benefit or perk offered and benefits or perks may be changed, revoked, or altered at any time without notice and will not affect or reduce agent expenses.
Free Listing Photos
Professional photography services for property listings (excludes leases, lots, or land)
Free Signage
Installation and removal of property signs (excludes leases, lots, or land)
Agent Website
Branded agent website as part of a subdomain of main company site
Free Leads
Company-generated leads without additional referral fees (third-party leads may have fees)
Notes: All benefits are where and when available. Some benefits are not available in all areas, especially remote areas. Unavailability of benefit(s) does not reduce agent dues or fees. Some benefits are available upon request only. Please ask your Area Leader how to apply or request benefits. Benefits may change, be supplanted, or discontinued at any time without notice. All agents must be in Good Standing with the Company in order to receive benefits or perks and cannot be past due or behind in monthly payments.
One Province Only
Some local benefits are available in one province only. This includes, but is not limited to, services like billboards, car washes, etc. National benefits like technology are not affected.
Abuse of Benefits
Epique Realty provides agents with access to exclusive benefits, tools, services, and platforms intended solely for their personal and professional use in the course of conducting real estate business under the Company. These benefits may not be repackaged, resold, transferred, or marked up for profit under any circumstances.
Any misuse or abuse of benefits—including but not limited to unauthorised sharing, mark-up, re-sale, or misrepresentation of access—constitutes a violation of this Agreement. If, in the sole discretion of the Company, an agent is found to have engaged in such behaviour, the Company reserves the right to immediately suspend or revoke access to the benefit(s) in question.
In cases of severe or intentional abuse, including monetisation or fraudulent representation of company-provided resources, Epique Realty may pursue termination of this Agreement and release of the agent's license from the brokerage.

Benefits are provided for the exclusive use of the Independent Contractor in their capacity as a representative of Epique Realty. Any attempt to monetize, resell, or transfer these benefits to others is strictly prohibited and may result in immediate termination.
Equity
Restricted Stock Awards (RSUs)
Epique Realty International, Inc., at the sole discretion of its Board of Directors, offers Restricted Stock Units (RSUs) to agents in Good Standing with the Company. These awards are discretionary and subject to availability, Board approval, and compliance with applicable Canadian securities regulations.

Vesting
Stock is vested after 3 (36 months) years from the earned date. Upon termination, or voluntary separation, all unvested shares will be forfeited.
Costs
Ownership of shares issued under the Program may come with associated costs imposed by third parties, including, but not limited to, fees associated with restrictive legend removal and opinions needed therefore, Transfer Agent fees and fees that may be imposed by the equity broker of Participant's choosing or others. This is not typical but may be exercised by third party providers or vendors.
Private Company Status
Epique Realty International, LLC. is a privately held corporation and is not publicly traded. While a future public offering may be pursued, it is not guaranteed.
Sale of Stock
Shares cannot be sold to any other party. Upon an initial public offering or sale, all shares will be converted to common stock. Contractors will be able to get liquidity after vesting with our pre-IPO partners if available, or in the event of an Initial Public Offering (IPO) or Company Sale or Acquisition. Upon termination of sponsorship, prior to a public offering, any vested shares will be purchased by the Company at the same rate paid by the contractor. Prior to a public offering, any gifted shares, vested or non-vested, will be forfeited upon termination of sponsorship or of agreement.
Purchase of Stock
The Epique Equity Incentive Program allows agents to purchase stock at a 20% discount using up to 10% of their Commission. See Addendum.

Equity awards may have tax and financial implications in Canada, which vary based on individual circumstances. You are encouraged to consult a qualified financial or tax advisor to understand how vesting, taxation, and RSU treatment may apply to you.
Ongoing Restricted Stock Awards may change at any time. The Board of Directors may opt to change the amount of stock awarded in the future, the method awarded, the reasons awarded, or the type awarded at any time. You will be notified if and when changes take effect before changes are made.
Equity Incentive Program Addendum
The Epique Equity Incentive Program allows agents in Good Standing to receive company common stock as payment for up to 10% of earned commissions. This innovative program represents a significant opportunity for our agents to build wealth beyond traditional income streams. Available to U.S. agents only, this program was formally adopted on May 24, 2023 following unanimous board approval.
Eligibility
All agents and brokers in Good Standing qualify for participation. This includes maintaining current license requirements, adherence to company policies, and having no outstanding compliance issues. New agents become eligible after completing their first transaction with Epique Realty.

Commission Conversion
Convert up to 10% of net Contractor Dollar Amount into equity shares. Agents can adjust their participation percentage quarterly through the agent portal. The minimum conversion amount is 1% of commission, while the maximum is capped at 10% to ensure appropriate cash flow for agents.
Share Pricing
Shares are priced at a 20% discount from assessed company value, determined quarterly by an independent third-party valuation firm. This discount represents significant potential value for participants, especially as the company grows. All share prices are communicated to agents before the start of each quarter.

Issuance Timeline
Shares are issued on the month's last trading day when accumulated value reaches $250 or more. Values under $250 roll over to the next month until the threshold is met. Agents receive electronic confirmation of all share issuances through our secure portal system within 24 hours of processing.
Participation is voluntary and can be canceled with 30-day written notice submitted to the Equity Program Administrator. The program may be modified or terminated at the board's discretion with 90 days advance notice to participants. All shares are initially held in an account created in the participant's name and managed by our designated equity management partner.
Tax implications vary by individual circumstances. Epique recommends consulting with a personal tax advisor regarding potential tax consequences of equity ownership. Annual tax documentation will be provided by February 15th for the previous calendar year's equity transactions. Participants must complete Form W-9 before receiving their first equity award.
In the event of separation from the company, any pending share issuances below the $250 threshold will be processed in the participant's final month with the company, regardless of accumulated value. Agents who have questions about the Equity Incentive Program should contact the Agent Success team or review the comprehensive program guide available in the agent portal.
Power Awards
Epique Realty International, LLC., at the discretion of its Board of Directors, has created a program referred to as the Power Award. The benefits of this program may change as the Company grows and the program evolves.
To Qualify for a Power Award:
Invite Only
You cannot apply and do not qualify automatically for Power Award Status without being invited by an Executive Member of the Epique Realty team.
Performance Requirements
24+ Transactions OR generate $13.6 million CAD in gross sales volume during your anniversary year
This Level Is Awarded the Following:
Equity Awards
Up to 1,500 shares or up to $15,000 USD in Company Equity Awards. Whichever is less. This number will be commensurate with the agent's current cap at the time of achieving Power Award Status.
Double Revenue Share
Power Award agents are eligible to receive double revenue share (20%) on all agents in their First-Level downline while maintaining Power Award status. Standard revenue share (10%) continues to apply for agents in Levels 2–5.
Reduced Technology Fee
Power Award agents pay a reduced technology fee of $149/month CAD with a processing fee of $10 CAD.
Teams
Team Types
Epique Realty International permits four team types: Traditional Teams, Family Teams, Unofficial Teams, and Power Teams. Each team type has its own set of benefits and rules.
Family Teams
Family Teams are a Team of Family Members which are made up of any configuration of spouses, siblings, parent / child, cousins, etc. where there is one Family Team Leader and the Family Team Members are comprised of family members. Family Teams may have 2 or more Family Team Members in order to accommodate real estate focused families of all sizes and includes the following benefits:
Team Branding
Team members will share a common team name on all advertising and marketing materials.
Commission Cap
Team Leaders will have a $20,000 CAD declining annual cap. Team Members will be granted a reduced $15,000 CAD annual cap, which does not decline
Decreased Technology Fee
The Team Leader and all Team Members will pay $149 CAD/month each, and will be billed individually at $149 CAD per member plus $10 fee for card payments.
Can Purchase Stock
Team Leaders and Team Members may purchase stock with either 5% or 10% of their commission.
Can Receive Power Award
Team Leaders and Team Members still have the ability to get the Power Award regardless of their Commission Cap. Upon achieving the requirements for the Power Award, the Member will receive Stock Awards commensurate with their cap.
To Qualify as a Family Team, members must:
Must be a Family: Family members include legally married spouses, parents, children, siblings, cousins, in-laws, any blood relative, or those familial relationships recognised by the courts in Canada.
Payments made to an individual. Revenue share is separate from a team structure. All payments for Revenue Share are paid to each individual named.
Separate Tech Fees: Each member of a Family Team must be billed separately at the rate of $149 CAD plus $10 CAD processing fee for card payments.
Internal Agent Recruitment Restrictions. A Team Leader may recruit no more than five (5) active and established Epique agents to join their Team for the entirety of the time the Team is established. This limitation is designed to maintain sustainability within the Brokerage model and to prevent the consolidation of a disproportionate number of internal talent within a single Team.
Traditional Teams
This is a 2+ person team in which the agents have a team leader and a Team Agreement and the following benefits:
Team Branding
Team members will share a common and approved team name on all advertising and marketing materials.
Reduced Commission Cap
Team members will have a reduced company cap of $15,000 CAD. This cap does not further decrease. The team leader's cap is $20,000 CAD, and declines as an individual agent's cap would.
Decreased Technology Fee
Team members will pay $149 CAD/month. The team leader will pay $199 CAD/month plus $10 CAD processing fee on card payments.
Can Receive Power Award
Team members still have the ability to receive a Power Award regardless of their Commission Cap. Upon achieving the requirements of Power Award status, the Member will receive Stock Awards commensurate with their cap.
To Qualify as a Traditional Team, members must:
Team Agreement. The team leader must submit an approved Team Agreement signed by all members of the team and a Company Representative or Broker of Record.
Team Split. Team Members are required to give a minimum of 5% Team Split commission to their Team Leaders on every transaction they close. (The Team Split Agreement may be more than 5%), except in the event of personal transactions. The Team Split is applied to the total commission followed by Epique's brokerage split of 15% (85/15) from each agent's portion of the commission, until each agent reaches their Company Dollar Cap.
Team & Area Leader Assignments. Team Leaders get assigned an Area Leader but their Team Members do not get assigned Area Leaders. Team Leaders must act as Leaders for their team members, and ensure all team members are fully trained and competent to represent the team and the Company in all transactions.
Traditional Team Formation Policy
This policy applies to all existing Epique agents interested in forming a new team and specifies the limitations and requirements for recruiting team members from within and outside of Epique Realty.
Team Formation Approval
As an existing Epique Agent, before forming a team, the proposed team leader must complete 1 year of active agent status prior to the proposed team formation. The proposed team leader must submit a team formation plan for approval to [email protected].
Internal Agent Recruitment Restrictions
A Team Leader may recruit no more than five (5) active and established Epique agents to join their Team for the entirety of the time the Team is established. This limitation is designed to maintain sustainability within the Brokerage model and to prevent the consolidation of a disproportionate number of internal talent within a single Team.
Outside Recruitment
There are no restrictions on the number of agents a team leader can recruit from outside Epique Realty. However, all external recruits must go through the standard Epique Realty vetting and onboarding process.
Individual Agents Joining a Team
Agents who have joined Epique Realty as an Individual Agent and have indicated on their Join Application a preference to work independently cannot join any Team as a Team Member until they have been with the Brokerage for a minimum of one (1) year. This policy ensures that Individual Agents have adequate time to understand their personal career goals and the Brokerage's environment before committing to a Team. There may be circumstances where an Agent's request to join a Team before one (1) year will be reviewed and considered on a case-by-case basis. See also "Internal Agent Recruitment Restrictions".
Approval Process for Team Additions
Any changes or additions to an already established team must be approved. The team leader must submit a formal request to [email protected] and to their provincial broker, where the brokerage management will review the request and provide response within 30 days.
Unofficial Teams (Marketing Teams)
This is an unstructured team in which the agents have agreed to share a team name for the purposes of marketing and collaboration.
Team Branding
Team members will share a common and approved team name on all advertising and marketing materials.
No Special Pricing
Unofficial teams operate as a group of individuals within the Company and do not get special fee structures, reduced caps, etc.
To Qualify as an Unofficial Team, the Team must:
Team Leader Required. Although unstructured, a Team Leader must still be named, who will be the responsible named member of a given team who holds the team in compliance.

Team Branding
Team members will share a common and approved team name on all advertising and marketing materials.
Reduced Commission Cap
Team members have a low $15,000 CAD annual commission cap. Team Leaders have a $20,000 CAD annual commission cap.
Reduced Monthly Fee
Team Leaders still pay $199 CAD/month, but Team Members pay a reduced $149 CAD/month technology fee plus $10 CAD processing fee for card payment.
1/2 Off Transaction Fee Cap
Power Teams only pay a maximum of $350 CAD per transaction as a Transaction Fee, with no annual cap.
Team Members Can Receive Power Award
Team members still have the ability to receive a Power Award regardless of their Commission Cap. Upon hitting the requirements of Power Award status, the Member will receive Stock Awards commensurate with their cap.

Team Agreement. Team leader must submit an approved team agreement signed by all members of the team and a Company Representative or Broker of Record.
Team Split. Team Members are required to give a minimum of 5% Team Split commission to their Team Leaders on every transaction they close. The Team Split Agreement may be more than 5%, with the exception of personal transactions. The Team Split is applied to the total commission followed by Epique's brokerage split of 15% (85/15) from each agent's portion of the commission, until each agent reaches their Company Dollar Cap.
Team & Area Leader Assignments. Team Leaders get assigned an Area Leader but their Team Members do not get assigned Area Leaders. Team Leaders must act as Leaders for their team members, and ensure all team members are fully trained and competent to represent the team and the Company in all transactions.

Advertising & Marketing
Definitions
"advertisement" or "advertising" means any form of communication by or on behalf of a Company or Agent designed to attract the public to use real estate brokerage services and includes, but is not limited to, all publications, brochures, radio or television broadcasts, all electronic media including email, text messages, social media, the Internet, business stationery, business cards, displays, signs and billboards.
Broker of Record's name": (i) The name of the individual Broker of Record as shown on their license issued by the provincial real estate regulatory authority (e.g., RECO in Ontario); (ii) If applicable, any alternate name formally registered with the regulator; or (iii) Any assumed business name or trade name registered with the provincial regulatory authority and used by the Broker of Record.
Prohibitions
Independent Contractor is prohibited from publishing or causing to be published an advertisement that:
identifies an Agent as a company;
uses a title such as "owner", "president", "CEO", "COO" , "CFO" or other similar title, email or website address that implies an Agent is responsible for the operations of a brokerage;
uses a geographical area name in a domain or handle that gives the misleading impression that the agent is designated over that area;
misleads or is likely to deceive the public;
tends to create a misleading impression;
uses terms in a team name (i.e., "Brokerage") that imply the team offers services independent from the Brokerage;
fails to include Company's name and/or approved Logo;
Advertising Prohibitions (Continued)
contains discriminatory language or implies a limitation or preference based on race, colour, religion, sex, disability, family status, national origin, sexual orientation, or gender identity (in violation of the Canadian Human Rights Act or relevant provincial legislation);
is in violation of any provincial, territorial, or federal law or regulation;
may harm the Company or its reputation;
violates the Canadian Real Estate Association (CREA) or local board's Code of Ethics;
may be seen as threatening, dangerous, malicious, vulgar, or prejudice;
contains the name of an Agent that is not the name as shown on the Agent's license or an alternate name registered with their licensing authority;
causes a member of the public to believe that a person not licensed to conduct real estate brokerage is engaged in real estate brokerage;
contains the name or likeness of an unlicensed person that does not clearly disclose that the person does not hold a license;

Violations of advertising regulations can result in disciplinary action from both the Company and regulatory authorities. All advertising must be reviewed and approved by the Broker of Record prior to publication.
Additionally, advertisements must not create confusion regarding the permitted use of the property, about the value of a property unless based on an available appraisal, or imply Independent Contractor was involved in a transaction when they had no such role. Advertisements must not offer to rebate a portion of compensation without proper disclosures about restrictions or third-party approvals.

Trademarks and Logos
The Broker's and Company's real estate brokerage business has purchased or otherwise has the right to use the following marks, logos, slogans or other intellectual property:
REALTOR®;
Intellectual property authorised for Company's use by a local affiliate of the Ontario Real Estate Association (OREA) or any applicable Canadian association.
No mark, logo, slogan or other intellectual property or practice other than as described above may be displayed or otherwise used without the written consent of the Company. Use of any mark, logo, slogan or other intellectual property or practice described above must be in compliance with any applicable license or agreement regulating such use.
Compliance with Code of Ethics
Independent Contractor will comply with the CREA Code of Ethics and any other relevant professional standards with regard to advertising, including, but not limited to, the following:
Independent Contractor must ensure their status as a real estate professional is readily apparent in the advertisement.
Independent Contractor must disclose the name of the Brokerage's firm, if applicable, in a reasonable and readily apparent manner either in the advertisement or in electronic advertising via a link to a display with all required disclosures.
Review Before Submission
Independent Contractor will carefully prepare and review all proposed advertising to ensure compliance with the Advertising Requirements detailed herein before submitting the proposed advertising to the Broker of Record for review.
Advertising Contract Approval Required
Independent Contractor must submit all contracts and agreements for any type of advertising or advertising products (including, but not limited to, web design, web hosting, graphic-arts design, printing and sign fabrication) to Company and receive written approval from Company prior to entering into the contract or agreement.
Other Brokers' Listings
Unless Company is a participant in a multiple listing service's internet data exchange policy where consent is presumed, Independent Contractor must provide to Broker of Record written consent from the third party Company holding the listing of property Independent Contractor wishes to advertise.

All advertising materials must be submitted to the Broker of Record for review and approval before publication or distribution. This includes digital, print, and any other forms of advertising.
Email and Communication Policies
Email Solicitation Policy
Independent Contractors will follow local, provincial, national, and international laws with regards to email solicitation, including the Canadian Anti-Spam Legislation (CASL). Unsolicited email blasts are not permitted. Associates may send email solicitations to prospective clients manually, through their CRM, or a trusted provider, provided they comply with CASL and obtain proper consent.
Cold Calling or Texting Policy
Independent Contractors will follow local, provincial, national, and international laws with regards to cold call solicitation. Associates are generally permitted to cold call prospective clients, and are also permitted to use an assistant to make calls to prospective clients. However, Associates are not permitted to contact prospective clients using a company or service designed for that purpose with callers from countries outside of Canada, and are not permitted to use an auto-dialer to make calls to prospects. Assistants calling for Associates are not permitted to discuss real estate if they are not licensed to do so in the area in which they're calling. All Associates must adhere to the National Do Not Call List (DNCL) rules and regulations, and subscribe to the list to ensure they are not calling prospects or numbers who have opted out of these types of solicitations.
Internet Policy
Independent Contractors will follow local, provincial, national, and international laws with regards to internet privacy and data collection. Independent Contractors must disclose all information collected on their websites in a Privacy Policy, compliant with Canadian privacy laws, such as the Personal Information Protection and Electronic Documents Act (PIPEDA). Associates should be aware of local and regional regulations and be in compliance at all times.
Business Entity Formation
Independent Contractor must properly form any business entities (eg. PREC) in accordance with provincial law and operate the business entity in accordance with the law, including, but not limited to, the timely filing of tax returns or other required documents with the Canada Revenue Agency (CRA) or other regulatory bodies as required.
Pre-Approval and Branding Requirements
Pre-Approval Required
Independent Contractors must submit all advertising to the Broker of Record and receive written approval from the Broker of Record prior to publication or communication of any advertising. If advertising a specific property, the property owner's written consent to the terms and conditions of the advertising must be submitted to the Broker of Record.
Use of the Word "Epique" Not in Websites or Usernames
Associates may not create websites, usernames, handles, email addresses, podcasts, video channels, and any other media or social media network, channel, forum or public or private facing access points that use the word "Epique" in them or make the appearance that the agent is representing the Company as a whole or where it may cause confusion about who owns the account (the Company or an individual agent). It may also not give the false impression that an agent/broker is a corporate employee or a member of leadership if they are not. All websites, landing pages, subdomains, handles, emails, etc. created with the word Epique in them that do not comply shall be forfeited to the Company immediately upon request.
Required Information in Advertisements
Each advertisement must include the following information in a readily noticeable location:
The name and designation of Independent Contractor or team placing the advertisement;
​​The Independent Contractor's license number, if required by provincial regulations.
The Brokerage Company's name in at least half the size of the largest contact information;
Phone number of Brokerage
For an advertisement on social media or by text, this information may be located on a separate page or on the account user profile page of the Independent Contractor, if:
The separate page or account user profile is readily accessible by a direct link from the social media or text; and
The required information is readily noticeable on the separate page or in the account user profile.
Branding
Epique Logo Use
Unless otherwise waived in writing, AND permissible by regulation, using the Epique Realty logo is required for any and all advertisements, flyers, postcards, business cards, or other marketing material or ads that appear either physically or digitally.
Epique Realty Agents must follow all local and provincial regulations regarding branding & logo use.
Logos may not be stretched, masked, coloured, beveled, or altered in any way. They may be used only as they are supplied by the Company.
If any alteration of the logo is needed (e.g. to represent an awareness month, special occasion, etc.), this must be approved in writing prior to release or distribution.
The Epique Realty logo, and "Q" power symbol, are registered trademarks of Epique Realty and cannot be used to represent any other brand.
Agents may not use the Epique Realty logo, or symbol, on materials unrelated to business involving Epique Realty, or as a "sponsor" of another business, without express written approval by The Company.
Agents may not add words around logos that would make it look like the words were a part of the logo.
The Epique Realty logo uses the font Graphik for the word "EPIQUE", in all caps. This font is approved in all of the various styles available (Light, Regular, Medium, Bold, Italic, Semi-Bold, etc).
Agents may also use the following widely available fonts in their materials: Lato, Avenir Next, Helvetica Neue, and Open Sans. In the event none of these options are available, Agents may not use serif-fonts, but must always use sans-serif fonts with all physical or digital designs.
Brand Design Guidelines
Text Effects
Text effects, overlays, 3-D styles, etc. are not permitted without written approval from the Company.
Colours
Epique Realty's colour scheme employs a luxury set of specific colours, used in such a way to create a recognisable brand. Not all of the colours used are designed to go with each other. Agents are required and encouraged to seek help from the Company when combining these colours so that the Epique brand can remain professional.

Our Primary Background Colour is Black, but can also be White for print ads, if approved. Gold should never be used as a background or primary colour for any print or signs and should be used primarily as an accent colour.

Consistent branding is essential for maintaining Epique Realty's professional image. All marketing materials must adhere to these guidelines to ensure brand consistency across all platforms and media.
Required Notices & Record Management
Recovery of Funds
All amounts owed must be paid in full upon departure. Contractors are responsible for collection fees, legal fees, and third-party recovery costs. This includes any outstanding desk fees, transaction fees, or other financial obligations. Payment plans may be considered with written approval from management.
Non-Compete/Non-Disclosure
No engagement with competing brokerages. All transactions must involve Epique Realty. Confidential company information cannot be shared with outside parties. This includes client lists, marketing strategies, training materials, and proprietary processes. Violations may result in legal action and financial penalties.
Code of Conduct
Agents must comply with CREA standards and refrain from discriminatory behaviour. Public actions reflect on the company and may result in dismissal. This includes maintaining professional communication in all client interactions, social media presence, and community activities.
Conflict Resolution
Disputes between agents or with clients must follow the company's resolution protocol. Initial concerns should be addressed to team leaders, followed by broker intervention if needed. Third-party mediation is available for complex disputes not resolved through internal channels.
Communication Requirements
All client communications must be documented and retained. Agents must respond to client inquiries within 24 hours. Company announcements and policy updates require acknowledgment within 48 hours. Failure to maintain communication standards may affect Good Standing status.
Record Management Requirements
Required Records
Disclosures, contracts, compensation agreements, receipts, leases, appraisals, and all agreements between parties. This includes electronic communications, transaction worksheets, referral documentation, and all marketing materials used in the transaction.

Retention Period
All records maintained for minimum of 5 years regardless of local regulations. May be kept longer if allowed. Digital records must include backup systems with appropriate security protocols. Paper records must be stored in secure, fire-resistant locations with limited access.
Confidentiality
Client personal and financial information remains confidential even after agent termination. This includes maintaining compliance where applicable and ensuring proper disposal of sensitive documents through shredding or secure digital deletion when retention period expires.
Ownership
All records created during relationship are property of Brokerage unless otherwise stated by law. This includes creative works, client testimonials, and marketing materials developed while affiliated with Epique Realty. Agents may request copies for personal portfolio with written permission.
Audit Compliance
Files are subject to random quality control reviews and formal audits. Agents must correct deficiencies within 72 hours of notification. Recurring documentation issues may require mandatory training and could affect commission splits until resolved to broker satisfaction.
All Independent Contractors acknowledge their responsibility to maintain accurate and complete transaction files. Failure to comply with record management requirements constitutes grounds for termination and possible reporting to regulatory authorities.
Record Management: Handling & Delivery Requirements
Next-Day Delivery
All records must be delivered to Brokerage within one business day after creation or execution.
Personal Information Protection
Client personal data cannot be disclosed to third parties without Brokerage and client written approval.
Termination Verification
Agents must confirm Brokerage has copies of all records upon relationship termination.
Mail Forwarding
Company forwards licensing authority correspondence to agents within ten calendar days of receipt.
These requirements ensure compliance with industry regulations and protect both the brokerage and clients. Proper record management is essential for maintaining Good Standing status.
Fiduciary Duties & Representation Requirements
As an Independent Contractor with Epique Realty, you have the highest level of fiduciary duty to your clients. This includes trust, confidentiality, honesty, performance, loyalty, reasonable care, and proper accounting.

Clearly explain if party is a client, customer, unrepresented party, or represented by another broker.

Reveal your role as Agent in writing, especially when personally involved in transactions.
Handle Intermediary Relationships
Consult with Managing Broker before entering dual agency situations.

Obtain written buyer representation agreements showing all commission arrangements.
Representation Disclosure Requirements
Always disclose who you represent at first contact with any party. Explain agency concepts thoroughly, including your special agency status, compensation terms, and authority granted.
Never interfere with existing representation relationships. Maintain strict confidentiality of all parties' information, especially in intermediary situations.
BUYER REPRESENTATION IN WRITING: Agents are required to complete and have signed a Buyer's Representation form as promulgated by their State Commission, Local Association, or the Epique Buyer's Representation form. The representation form must show all commissions earned by each side of the transaction as well as who is responsible for payment of the commission.
The Independent Contractor will comply with the CREA Code of Ethics, and any applicable provincial or territorial regulatory requirements regarding the disclosure of interest in the acquisition or disposition of real estate in any transaction.
General Policies
Maintenance of Required Licenses & Certifications
Independent Contractor will ensure that their licenses, certifications, or other qualifications necessary to act in all areas in which the Broker of Record and/or Company has authorised them to act, remain active, current, and in good standing.
Mandatory Educational Requirements
Independent Contractor will complete all continuing education requirements in a timely manner, at their sole expense.
Additional Licenses, Certifications & Education
Requirements for an Independent Contractor to obtain additional licenses, certifications, and additional mandatory education instruction (eg. FINTRAC training) are solely at the joint discretion of the Broker of Record and Company.
Compliance with the Code of Ethics
Independent Contractor will comply with the Canadian Real Estate Association (CREA) Code of Ethics with regard to competency, including, but not limited to, Article 11 of the same.
Maintenance of Required Licenses & Certifications:
Timely renewal of all licenses and certifications
Completion of Continuing Education required to maintain license, and that required by Brokerage
Prompt and timely payment of E&O premiums
Agent Attraction & Revenue Share
Definitions
Downline
Refers to the agents who have joined the Company under the sponsoring agent.
Level or Levels
Refers to the position in which the recruited contractor is in a sponsoring contractor's downline.
Revenue Share or Rev Share
Is a percentage of the Company's commission for a given transcation which is paid the to the contractor whose recruits have. paid the Company through their commission split.

Revenue Share

Eligibility Criteria
To be eligible, Associates must be an active Agent in Good Standing with Epique Realty, be current on all fees, and be current in all Association fees and MLS dues.
Vesting occurs after 3 years (36 months) - both Contractor and Recruit in the downline must be with the Company for a minimum of 36 months for Revenue Share to be considered vested. In the event of voluntary separation, the Contractor will earn Revenue Share from vested Revenue Streams only.
Company Spots in Downline
In the event a Recruit leaves the Company, the Company shall be placed in the downline to represent that spot. The downline will not shift due to a Recruit leaving and all levels will remain the same, even if all Recruits from a Level have left, the downline will not shift and the Company will take a spot to hold that Level.
Recruiting Teams / Brokerages
Stacking Prohibited
When recruiting teams or brokerages at once, or over a short amount of time, "stacking" is prohibited.
Joining Restrictions
Teams must join no deeper than 3 Levels upon joining. With the third level capped at 5 agents.

Key Points

Rev Share Payments
The Company shall pay Revenue Share on the 15th of each month for all of the previous calendar month's closings. Agents who owe the Company money will not receive Rev Share the month in which they are behind. This can include monthly dues, monies owed, etc.

Termination
In the event the Associate chooses to leave the Brokerage and Terminate sponsorship, non-vested Revenue Share will be forfeited upon Termination of Sponsorship. In the event the Associate breaches the terms specified herein, or has failed to conduct his position in accordance with the applicable law, or within the expectations of the Entity, the Entity is entitled to cancel this agreement, and/or terminate sponsorship of the Associate. Associates may not attract agents away from Entity until 30 days after the Termination of this agreement has been fulfilled.

Manipulating Revenue Share / Hacking Rev Share
Associates joining agree not to attempt to increase their revenue share through means of stacking, falsifying information, manipulating transactions, dishonesty, etc. Manipulation can take many forms and it is impossible to predict future ways in which this may occur. The company holds complete authority to Terminate any agent who it feels is engaging in Manipulation, Scheming in any unsavory way in order to increase their Revenue Share. This includes finding loopholes, coordinated efforts to obfuscate information related to revenue share that would reveal such manipulation. Terminated agents are not eligible for Revenue Share in any way. The company will also pursue any criminal or legal means necessary to recover any funds lost, or to enforce any laws broken.

Modification or Termination
This program, like all Company programs, is subject to modification or termination at the discretion of the Board of Directors.
Termination & Vesting Explained
We take our partnership seriously, but sometimes things don't work out. Here's what happens if your agreement with Epique is terminated:

Involuntary Termination
If you breach our agreement or fail to meet our standards, we can cancel your contract and end your sponsorship. Any unvested revenue share will be forfeited.
Pending revenue share from previous month will not be paid out if involuntary termination occurs before the date in which Rev Share is paid.

Early Retirement / Voluntary Departure (Non-Competing)
Once your revenue share is fully vested after 36 months, you're free to leave Epique and continue receiving your vested earnings as long as you comply with the terms of this agreement and remain in good standing.
Vested Rev Share includes all agents in your downline. A $99/month program fee will apply to remain in good standing and continue receiving Revenue Share. This will not gain you access to any additional benefits or systems from Epique. Your revenue share may shrink as agents leave or it may grow as they join.

Competing Company
If you join a competitor after leaving the Company, your revenue share ends immediately and all vested and unvested earnings revert back to Epique. This cannot be reversed.

Incapacitation or Death
In the unfortunate event of your permanent incapacitation or passing, your full revenue share stream can transfer to a designated beneficiary, no vesting required.
Remember, Epique reserves the right to modify or terminate this program at any time. Adherence to our policies is essential.

Defined Behaviors
An "a**hole" acts selfishly, displays an inflated ego, undermines our mission, or negatively impacts our community.
Zero Tolerance
Such behavior results in immediate termination and license release without prior notice.
